Overview

Beyond the Checklist: Where Governance Holds—and Where It Fails

Many boards are building governance frameworks—introducing policies, committees, and reporting structures to strengthen oversight. Increasingly, they are also using tools to assess governance effectiveness, identify risks early, and align with investor and regulatory expectations.

But the real test of governance is whether it influences decisions.

This session brings together two complementary perspectives: how governance is structured and measured, and how it actually operates when strategy meets operational pressure and real trade-offs must be made.

We will explore situations directors recognize—where incentives are in place but behavior diverges, where risks are identified but not reflected in decisions, and where governance frameworks exist but are not yet fully embedded in how choices are made.

The goal is to help directors recognize the difference between governance as documented and governance as applied—and how to determine whether it is truly working where it matters: in decisions. We look forward to the conversation and to hearing your perspectives.

Susana Sierra is an internationally recognized leader in corporate governance and compliance, known for advancing transparency, ethics, and accountability in organizations worldwide.
As CEO and co-founder of BH Compliance, she has spent more than a decade developing a data-driven approach to assessing and strengthening corporate governance and compliance practices. Through BH Compliance’s platforms, organizations and boards can evaluate the effectiveness of governance systems, identify risks early, and align with investor and regulatory expectations.
Susana serves on the Board of the Financial & International Business Association (FIBA) in Miami, where she is a member of the Executive Committee and Chair of the Innovation and Technology Committee. She previously served as President of Chile Transparente and co-chaired the task force that defined Transparency International’s global strategy to 2030.
She was named a Young Global Leader by the World Economic Forum and teaches in MBA and international programs on corporate governance and compliance.

With more than 25 years of global executive leadership experience across technology, telecommunications, healthcare, and consumer sectors, she brings a perspective shaped by both management and boardroom experience.
Her work focuses on what she calls applied governance—how governance frameworks translate into real decisions, incentives, and strategic trade-offs.
